French law firm comments on the proposal of 9 April 2014 for a Directive of the European Parliament and the Council, on single-member limited liability companies
Following the observation that the barriers keeping the SMEs from developing their cross-border activities are numerous, the proposal for a Directive published on April 9th 2014 aims to further promote the setting up of new businesses abroad by requiring from each EU Member State to provide for a single-member limited liability company called SUP (Societas Unius Personae). Although the SUP will be governed by national law, the proposal provides for uniform rules such as direct online registration, standardised articles of association and share capital comprising one single share with a minimum amount of 1€.
